TERMS OF SALE

Effective Date: 9 August 2025

These Terms of Sale apply to wholesale purchases made from AURICLE through our websites or by direct invoice. They set out how orders are placed, paid for, delivered and handled if something goes wrong.

NON NEGOTIABLE TERMS: Placing an order confirms that you accept these Terms of Sale in full. We do not offer tailored variations. If you do not accept these terms, do not place an order. See also the SHIPPING AND DELIVERY POLICY, the RETURNS AND FAULTY GOODS POLICY and the TAX AND VAT POLICY.


1. Scope

• These terms govern wholesale B2B sales only
• Website use is governed by the TERMS OF SERVICE
• Privacy and cookies are covered by the PRIVACY POLICY and the COOKIE POLICY
• Subscription arrangements are covered by the SUBSCRIPTIONS AND RECURRING BILLING terms


2. Eligibility and accounts

• The Website is intended for legitimate businesses including studios, jewellers and distributors
• Pricing and ordering require registration and approval
• You are responsible for keeping account details accurate and secure


3. Ordering and contract formation

• Checkout steps allow you to review and correct your order before submission
• After you place an order, we send an acknowledgement email; this is not acceptance
• We accept your order when we dispatch the products or send a written acceptance
• We may refuse an order at our discretion, for example where there are availability issues, account concerns or risk checks
• If we cannot supply an item, we will inform you and refund the affected product


4. Pricing, VAT and currency

• Prices are quoted in GBP and exclude postage and packaging, which are shown at checkout
UK VAT at 20 percent is applied where applicable and displayed as a separate amount at checkout
• For deliveries outside the UK, UK VAT is removed at checkout when a valid export address is provided
• Any USD or EUR amounts shown are indicative only; your card provider sets the actual exchange rate

5. Payment

• Accepted methods: debit and credit cards
• Not accepted: Amazon Pay, PayPal, WeChat Pay, Alipay, Klarna and similar third party wallets
• Unless we agree otherwise in writing, payment for products and all related charges is taken at the time of ordering


6. Shipping and delivery

• Shipping options, charges and estimated delivery times are shown at checkout
• We ship only to countries listed at checkout; we do not ship to PO Boxes
• Delivery times are estimates and may be affected by stock levels, carrier performance, payment checks, customs and other external factors
• An adult must be available to sign for delivery at the address you provide
• If the country selected at checkout does not match the delivery address, we may cancel the order
• For security reasons, we may ship to the card billing address

7. International duties and customs

• Export deliveries are sent on DAP or DDU terms, which means delivery duty unpaid
• You are responsible for import duties, taxes, brokerage and customs charges in the destination country
• If a shipment is returned due to unpaid customs charges or an incorrect address, you are responsible for any return and re shipping costs

8. Risk and title

• Risk in the products passes to you when they are delivered to the address you provided or to your nominated carrier
• Title to the products passes when we receive payment in full, including all delivery charges


9. Inspection, faults and returns (B2B)

• This Website serves B2B customers and is not subject to consumer distance selling rules; there is no cooling off period
• Inspect goods when they arrive and notify us by email at info@auricle.co.uk promptly if you identify a fault
• Where a fault is confirmed, our usual remedy is a like for like exchange
• Once we authorise a return, faulty items must be sent back within seven days of your notice
• Returns for change of mind, over ordering or compatibility are not accepted
• These rules operate alongside any non excludable statutory rights

10. Product information and samples

• Product images are illustrative and colour can vary with screen settings and lighting conditions
• Drawings, photographs, specifications and advertising are approximate and do not form part of the contract
• We may update or refine specifications where this does not materially reduce performance or quality

11. Availability, substitutions and backorders

• Product availability may change without notice
• We may suggest suitable substitutions or partial shipments with your agreement
• If an item is not available and no substitution is agreed, we will refund that item


12. Errors and corrections

• From time to time, pricing or other information may be incorrect because of human or system error
• We may cancel orders that rely on such errors and refund any payments received for the affected items


13. Liability

• To the fullest extent permitted by law, we are not liable for indirect, special, incidental, punitive or consequential loss, or for loss of profit, revenue, data, goodwill or business opportunity
• Our total liability in connection with a specific order is limited to the amount paid for the products under that order
• Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud or any liability that cannot be limited under applicable law


14. Force majeure

• We are not responsible for delay or failure to perform where this is caused by events outside our reasonable control, including natural events, labour disputes, carrier disruption, shortages or actions of public authorities


15. Governing law and jurisdiction

• These Terms of Sale and any related non contractual disputes are governed by the laws of England and Wales
• The courts of England and Wales have exclusive jurisdiction
